Terms of Service

Welcome to The R&I Guys (the “Service”). These Terms of Service (“Terms”) form a legally binding contract between you (“you,” “your”) and The R&I Guys LLC (“R&I,” “we,” “our,” “us”). By accessing or using the Service—including our mobile applications, website(s), and related services—you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Account

  1. You must be at least 13 years old (or the minimum age in your jurisdiction) to create an account.
  2. You are responsible for all activity under your account, including keeping login credentials secure.
  3. We may suspend or terminate your account at any time for violation of these Terms or applicable law.

2. License to Use the Service

We grant you a personal, non-exclusive, revocable, non-transferable, limited license to download and use the app and access our sites solely for your personal or internal business purposes and in compliance with these Terms.

3. User-Generated Content

3.1 Your Content

The Service lets you upload text, photos, videos, comments, and other materials (“Content”). You retain any ownership rights in your Content, but you grant R&I a worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting or compression), publicly display, distribute, and otherwise use your Content solely to operate, develop, and promote the Service.

3.2 Your Responsibilities

You represent that:
• You own or have the necessary rights to post your Content.
• Your Content does not infringe anyone’s rights, violate law, or contain harmful, abusive, hateful, or otherwise objectionable material.
• You have obtained consent from any person depicted in your images or videos.

3.3 Moderation

We may—but have no obligation to—review, remove, or disable Content at our sole discretion. We are not liable for any Content posted by users.

4. Prohibited Conduct

You agree not to:

  1. Violate any law or third-party right.
  2. Post false, misleading, or fraudulent information.
  3. Upload viruses, malicious code, or anything that could damage or overburden the Service.
  4. Use the Service to stalk, harass, or threaten others.
  5. Reverse-engineer or attempt to extract source code or underlying data.
  6. Access the Service via automated means (scripts, bots, scrapers) without written permission.
  7. Sell, sublicense, or otherwise exploit the Service except as expressly allowed.

5. Intellectual Property

The Service—including all software, designs, logos, trademarks, and content provided by us—is owned by or licensed to R&I and is protected by intellectual-property laws. Except for the limited license granted in Section 2, you obtain no rights to our IP.

6. In-App Purchases & Payments

If you purchase digital goods, tools, or subscriptions inside the app, the sale is final except where required by law. Fees are displayed before you complete a transaction. You authorize the platform (Apple App Store or Google Play) to charge you according to its terms. All purchases are subject to the platform’s refund policy.

7. Third-Party Links & Services

The Service may link to third-party websites or services (e.g., external parts retailers). We do not endorse or control those sites and are not responsible for their content or practices. Your interactions with third parties are solely between you and the third party.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES—EXPRESS OR IMPLIED—including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any Content is accurate or complete.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, R&I AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, DATA, OR GOODWILL; OR ANY DAMAGES EXCEEDING $100 USD, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain exclusions or limitations of liability; in such cases, our liability will be limited to the maximum extent allowed by law.

10. Indemnification

You agree to indemnify and hold harmless R&I from any claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys’ fees) arising from your: (a) use or misuse of the Service; (b) violation of these Terms; or (c) infringement of any third-party right.

11. Changes to the Service & Terms

We may modify the Service or these Terms at any time. If we make material changes, we will notify you via the app, email, or by updating the “Last updated” date. Continued use after changes take effect constitutes acceptance of the new Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles.

13. Termination

We may suspend or terminate your access to the Service at any time for any violation of these Terms or if we discontinue the Service. Upon termination, Sections 5 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law & Dispute Resolution) survive.

14. Miscellaneous

• Entire Agreement – These Terms (plus our Privacy Policy) are the entire agreement between you and us.
• Severability – If any provision is unenforceable, the remaining provisions remain in effect.
• Assignment – We may assign these Terms; you may not assign them without our consent.
• Waiver – A delay or failure to enforce any provision is not a waiver of our right to do so later.
